Terms of Service

These Terms govern your use of all Elucide software products and the elucide.ai website.

1 Acceptance of Terms

By purchasing, downloading, installing, accessing, or using any Elucide software product or website, you ("Customer", "you") agree to be legally bound by these Terms of Service and our Privacy Policy. If you do not agree, do not use our products.

If you are entering into these Terms on behalf of a company or legal entity, you represent that you have authority to bind that entity. These Terms constitute the entire agreement between you and Elucide Softech Private Limited with respect to our software products.

2 Definitions

  • "Elucide" means Elucide Softech Private Limited.
  • "Software Products" means econoMES and any future software sold via elucide.ai.
  • "Consultancy Services" means advisory, design, and integration services provided by Elucide — these are separate from Software Products and quoted under a separate agreement.
  • "Subscription" means an annual recurring licence to use a Software Product.
  • "AI Features" means artificial intelligence functionality within our Software Products, powered by Anthropic's Claude API.

3 Licence Grant

Subject to your compliance with these Terms and payment of applicable fees, Elucide grants you a limited, non-exclusive, non-transferable, revocable licence to install and use the purchased Software Product solely for your internal business operations.

3.1 Enterprise Licences

econoMES is governed by a separate Enterprise Licence Agreement covering your specific plant, modules, and user count. These Terms apply in the absence of a specific Enterprise Agreement.

3.2 Annual Billing & Renewal

econoMES subscriptions are billed annually. Access terminates automatically on expiry unless renewed. Your operational data is retained on-device or on your server and is accessible upon renewal.

4 Permitted Use

  • Use Software Products for your internal quality, manufacturing, calibration, and testing operations
  • Generate reports and records for internal use and regulatory compliance
  • Train your own employees on use of the software
  • Use AI features for internal analysis and decision support, subject to section 6

5 Prohibited Use

  • Sublicense, resell, rent, lease, or transfer the software or your licence to any third party
  • Reverse-engineer, decompile, disassemble, or attempt to extract source code
  • Create derivative works without written permission from Elucide
  • Remove or alter any proprietary notices, labels, or marks
  • Use the software to process data on behalf of third parties as a service bureau
  • Circumvent any licence enforcement or access control mechanism
  • Share login credentials or licence keys with unauthorised users
  • Use the software in any way that violates applicable laws or regulations
  • Benchmark our products against competitors and publish results without our written consent

6 AI Features — Acceptable Use

AI features are available in econoMES.

6.1 AI Outputs Are Advisory Only

⚠ Important

All AI-generated outputs — including root cause suggestions, CAPA drafts, trend analyses, and reports — are advisory only. A qualified person must review and approve all AI outputs before use in any quality decision, regulatory submission, or operational action. Elucide is not liable for decisions made solely on the basis of unreviewed AI outputs.

6.2 Prohibited AI Use

  • Attempt to extract, probe, or reverse-engineer the AI model
  • Input unnecessary personal data of individuals beyond what is required for the specific AI function
  • Use AI features to generate false or misleading quality certifications or compliance records
  • Attempt to manipulate AI responses in ways that violate these Terms or Anthropic's usage policies
  • Rely solely on AI outputs for safety-critical decisions without human verification

6.3 Third-Party AI Provider

AI features are powered by Anthropic's Claude API. By using AI features, you also agree to comply with Anthropic's usage policies. Our AI Data Policy details exactly what data is transmitted and how it is protected.

7 Consultancy Services

✓ Important — Consultancy is separate from Software

Elucide's Smart Plant Consultancy services (plant design, MES/QMS integration, carbon footprint definition, etc.) are not sold online and are invoiced directly. Consultancy is quoted and invoiced separately following direct discussion. These Terms govern software products only. Consultancy engagements are governed by a separate written agreement.

8 Payments & Billing

8.1 Direct Invoicing

Software Products are quoted and invoiced directly by Elucide — there is no self-serve online checkout. Payment terms, methods, and currency are agreed with you directly as part of your licence or service agreement.

8.2 Annual Billing

All subscriptions are billed annually only. Subscriptions auto-renew at the end of each annual period unless cancelled beforehand in accordance with your service agreement.

8.3 Price Changes

We will give existing subscribers 30 days advance notice of any price change via email. Changes take effect at your next renewal. Continuing use after the effective date is acceptance of the new price.

8.4 Taxes

Quoted prices on elucide.ai exclude VAT/GST. Applicable tax is added to your invoice based on your billing location.

8.5 Refunds

Governed by our Refund Policy, which forms part of these Terms.

9 Intellectual Property

All software, design, documentation, trademarks, and content produced by Elucide remain the exclusive intellectual property of Elucide Softech Private Limited. These Terms do not transfer any ownership rights to you.

The names "econoMES", "Elucide", "ÉLUCIДÉ", and associated logos are trademarks of Elucide Softech Private Limited. You may not use these marks without our prior written consent.

Feedback you provide about our products may be used by us freely without obligation or compensation.

10 Your Data

You retain full ownership of all plant data and content you enter into Elucide Software Products. We do not claim ownership over your data. You grant Elucide a limited licence to process your data solely to provide the software services — including transmitting minimal data to AI providers when you explicitly activate AI features.

11 Warranties & Disclaimers

Elucide warrants that its Software Products will perform materially in accordance with their documentation under normal use conditions. Except as expressly stated, our products are provided "as is" without warranties of fitness for a particular purpose, uninterrupted operation, or accuracy of AI-generated content. You are responsible for validating software against your applicable standards (ASTM, ISO, IATF, etc.) in your specific context.

12 Limitation of Liability

To the maximum extent permitted by applicable law, Elucide's total aggregate liability shall not exceed the total amount you paid to Elucide in the 12 months preceding the claim. Elucide is not liable for indirect, consequential, or punitive damages, including loss of profits or data. Elucide is not liable for decisions made based on AI-generated content without human review, or for third-party service failures including Anthropic.

13 Termination

You may terminate by cancelling your subscription or ceasing use. We may terminate or suspend access immediately if you materially breach these Terms and fail to cure within 14 days of notice, engage in fraudulent activity, or if required by law. Upon termination, your licence ends and outstanding payments become due. Sections 9, 11, 12, and 14 survive termination.

14 Governing Law & Disputes

These Terms are governed by the laws of India. Disputes shall first be attempted in good-faith negotiation. If unsuccessful, disputes are subject to the exclusive jurisdiction of the courts of Tamil Nadu, India.

15 Changes to These Terms

For material changes we will give at least 30 days advance notice via email. Continued use after the effective date constitutes acceptance. If you disagree with revised Terms, you may terminate your subscription and request a pro-rata refund per our Refund Policy.
